There are many reasons why the purchase and sale of a company can fail. There are also a few ways to ensure that the sale is a success.

While you can do a search and pull up a list of reasons for failed divestitures / acquisitions, the whole list typically comes down to two things. You need…

1. Truthful professionals having and properly utilizing a detailed knowledge of their specialty. The most common complaint we receive from buyers in the industry is the inability to secure complete, detailed and correct information about their potential acquisitions. When you’re choosing a professional brokerage, sales skills have their place. But sales skills aren’t nearly as important as providing meticulous information and being able to explain that information to a qualified buyer. We’ve all been buyers at some point, and we understand that no buyer signs a check until they are comfortable in their decision.

2. Properly managed communication during the due diligence and transition processes. This one sounds simple, but you might be surprised how often one or two misstatements can cause an emotional response and a failed transaction. Whether a buyer has closed 100 deals or zero, no one wants to make a mistake when investing money in a company. That’s why it is so important to know your subject matter and communicate with absolute clarity.

Six Steps To Choosing A Broker In The Childcare Industry In This Market

We’re in a time when our industry is being described as “broken” or “in crisis”. It’s not the first time we’ve been broken or in crisis. We will solve the shortage of teachers issue and we will bounce out of it. The only real questions are will you catch the bounce and how high will your bounce be.
In every part of life, there are a very few who are truly exceptional in their field. These are the entities (people or companies) that provide you with the best service, the most confidentially and the absolute best results, and they do it consistently. Most people and companies are trying or simply pretending to be exceptional. Unfortunately, when brokers make mistakes in the childcare industry, it can be the difference between a secured retirement for the client or a loss that never gets repaid. For many people, selling their early education company is a once in a lifetime event…an event where you do not want any mistakes.
Recently, I received an email at work in which the brokerage company (a fairly well known company that presents itself as a childcare broker specialist) sent an advertisement to me for a single childcare center that they represent in a small town in the Southeast US. This advertising information included the name of the small town, the exact licensed capacity of the center and negotiable deal points that the seller was apparently willing to concede to any buyer. All of this information was provided without an NDA (Non-Disclosure Agreement) being signed. I don’t think for a second that this company, broker or agent means to purposely do harm to their client. Generally speaking, I think the people in this industry mean to do good. However, with the information provided by this brokerage, a curious but unprofessional or inexperienced buyer could…

a. Identify the center.

b. Walk into the center, show the advertising piece and ask the seller’s staff about buying the center.

c. If it was a competitor, the competitor could send copies of the advertisement to the center to scare the teachers and then swoop in and hire the teachers for their own childcare company.

d. If the buyer was legitimately interested in buying the center, then this information almost guarantees lower offers and more difficult financing for the buyer.
These types of mistakes happen often in our industry. There are lots of brokerages claiming to understand childcare because they have sold a handful of centers. Trust me. At five or ten centers, you haven’t even scratched the surface of professional mergers and acquisitions in the early education industry. I’ve taken many calls from people whose companies were put at risk because a salesman type didn’t understand the meticulous requirements for managing an early education company divestiture. Being a good salesperson does not mean that you can manage an M&A transaction. You must know how to both promote and protect your client. Protecting your selling client by operating under proven Standard Operating Procedures (SOPs) can also make the transaction less stressful, faster and easier for the staff, the parents and the buyers of the centers or schools…not to mention more profitable for the selling client.
We have talked with the owners of many early education companies, some with one or two centers or schools and some with 15 or more. Many became our clients after suffering some of the following industry mistakes:

a. Brokerage underpriced their company.

b. Brokerage didn’t understand the need for exceptional discretion.

c. Brokerage gave buyer’s business information to buyers who weren’t financially or educationally pre-qualified to buy their company.

d. Brokerage didn’t redact the private information (think Social Security Numbers) in their tax returns and other private documents.

e. Brokerage didn’t have a strong enough NDA…or didn’t have the buyer sign an NDA before exposing the identity of their selling client.

f. Brokerages that didn’t know or understand the specific state regulations. Each state has its own set of regulations and while they can be very similar, they’re not all the same. Nobody wants a deal that starts with a contentious relationship with state licensing.

This list is not exhaustive. These are just some of the more common mistakes we see in the business.
Fortunately, the cure to these and other issues is simple. Ask the hard questions of any brokerage or consulting firm you’re considering. We have closed our clients’ transactions ranging from one or two million to $30 or $40 million and the thing that has remained constant is nearly everyone we have worked with is genuinely nice. However, sometimes this trait stops people from asking the more direct questions that we need to ask. ASK all of the hard questions. No matter how big or how small the issue, ask the question. A solid, high-quality brokerage firm will have no fear of giving you direct and honest answers to your questions. Some basic questions that you should ask of any brokerage firm are as follows:

a. Confirm that the brokerage firm specializes in the early education industry. Selling convenience stores, motels and restaurants is great, but it does not qualify a brokerage to sell childcare centers, preschools, Montessori schools or private elementary schools.

b. Confirm years of experience in the early education industry. Nobody starts out selling $50,000,000 worth of centers a year. It takes time to build up to this level.

c. Always ask for references and don’t settle for a name and an email address or a phone number. People get busy with their life after they sell their company. They get into travel, their next company, charitable pursuits…etc. Make sure you can get verifiable comments from the former clients of the brokerage.

d. Check their Better Business Bureau rating. The BBB rates businesses on a scale from A+ to F. It’s easy to check the report card. If they say they don’t have a BBB rating, ask them why?

How To Limit Liability in a Montessori School

Like with everything else, there is always the risk of liability when you own a Montessori school. Here are some of those risks and ways to manage them.

The Heart Stopper: Make sure you never lose track of a child. This terrifying event is most likely to happen when moving back and forth to the playground or when children are transported via busses or vans. Sometimes it is not enough to count the number of children. Make sure at least one person goes all of the way to the back of the bus or van checking in and under every seat. Children are easily overlooked when they are in the back of a bus or van.
Observe Good Business Practices: This act is incredibly important. While it doesn’t guarantee that you will be safe in your business environment, it certainly reduces the risk of getting sued.
Business Component Incorporation: Incorporate your business to limit your personal liability.
Real Estate: If you own real estate for your early education company, own it in a corporation or LLC that is different than the corporation that owns your business component. By holding your real estate in a different entity, it can be protected from litigation against the Montessori school operating company. Remember, you don’t have to be wrong to be sued. Over the years, we have seen school owners sued frivolously for little more than a parent that needed a source of income.
Transportation: While some companies don’t go this far, owning your company vehicles in a separate transportation company helps to limit liability in the event of a traffic accident. This structure also gives you the option to lease the vehicles to your operating school and thus giving you and your CPA more flexibility at tax time.
Insurance: Make sure you have the proper insurance coverage, including but not limited to, liability, property, flood and business interruption coverages.
Teachers: Train your teachers so they instinctively guard against any threat to the children, themselves or your center(s).
Playgrounds: Sectionalize playgrounds to make sure older children don’t accidentally collide with the little ones when playing outside.
Security: Install proper security doors and surveillance cameras so unwanted visitors don’t gain access to your center or the people in it.
Licensing Compliance: While licensing is always part of the daily business, keep in mind that the regulations are there with good purpose. Sometimes it is the smallest act of prevention that stops a catastrophe.
Professionals: Make sure you have at least one good attorney and one good CPA on your team. Having the right professional to show you the correct path is much easier and less expensive than learning things through experience.

By following a few practical rules, you can reduce your risk and limit liability in your Montessori school.

What Are the Initial Questions I Should Ask About an Early Education Company If I’m Interested in Buying It?

The Initial Questions have only one goal. Determine whether a company is interesting to you or a waste of your time as quickly as possible. While the questions won’t be exactly the same for everyone, the following should cover most if not all of your first look.

Location
Annual Revenue
Annual Cash Flow. Specifically, EBITDA and EBITDAR. It is important to closely define “cash flow” as many people have very loose definitions for this term. A misunderstanding here can cost you time and money.
Current appraised value of any real estate included in the deal.
The original cost or current market value of any furniture, fixtures and equipment (FF&E) included in the transaction.
The market value of the business component and how that market value was determined.
The total asking price.
Whether the company is properly licensed and in good standing with regulators.

You’ll certainly have other questions, but these first few can save you time, energy and money when you’re trying to identify the right candidate.

How to Handle a Minimum Wage Increase in the Early Education Industry

As payroll costs are the single largest expense in a childcare center or school, many company owners and executives are concerned with the potential increase in the minimum wage. No one likes to see increases in expenses without corresponding increases in revenues and profits. Here’s a few ways to deal with an increase to the minimum wage.

Don’t panic. This wouldn’t be the first time our industry has seen an increase in the minimum wage. It’s not fatal. It’s just an adjustment.
Do the math and determine how much your expenses will increase with the wage increase. Don’t forget to include the corresponding increase in payroll taxes. If you know the amount of the increase in your expenses, you’ll be better at making up the difference…maybe more.
Raise your rates. The minimum wage increase won’t be a secret to your parents. You can raise your tuition rates (and other fees like Registration, Supplies, Fieldtrip…etc.) to cover some or all of the wage increase. It is more difficult to raise rates in some centers than others. In some cases it will be better if you use smaller, but multiple rate increases to help your parents get through the change.
Shop your vendors. Over time, most early education companies will become complacent with their vendors. Over time, vendors raise their rates. A more competitive market place is always the friend of the consumer. Make sure you keep the quality performance you need, but shopping vendors can create significant and immediate savings.
Ask your employees to give you suggestions about reducing costs. Your employees are often closer to the source of the waste so they recognize it sooner. Get everyone involved in the team effort. Offer bonuses to employees who find smart ways to save money.
Invest in technology. New technologies from inventory control to student-teacher ratio tracking to social media allow for lower costs, better service and more clients. Make sure you’re keeping up with the technology available to help your business perform at its best level.

If you’re diligent about these practices, you may find that an increase in the minimum wage leads you to higher profits. As always, we hope it helps.

Starting a Professional Montessori School

Starting a Montessori School begins with hiring the right mix of professionals. Montessori teaching methods are proven and effective, but a Montessori school is also a business. You have to have the right professionals to ensure that your school will have a long and successful life instead becoming a statistical business norm and closing in the first five years.

Be Honest About Your Own Strengths and Weaknesses. By being candid with yourself, you identify the spaces where you need help. For example, you may be brilliant but not particularly assertive so you look for a more assertive director, administrator or attorney.
Hire the Right Attorney. The most common mistake in this area is hiring an attorney because you know them. They’re a friend or you have a mutual friend or you go to church with them. There’s nothing wrong with working with an attorney that you already know, but make sure the attorney is well versed in the areas you need like lease negotiation, employment law, real estate acquisitions…etc.
Hire a Good CPA. If you’re going to make money, you need to be able to account for it and protect it from inappropriate taxes. A good CPA will save your money from taxes, and those savings compounded over years in business can determine the decade in which you retire.
Hire a GREAT Director. If you’re not going to be the director / administrator of the school, then this position will be the most important operational staffing decision you’ll make. Great directors can make a school, bad directors can bankrupt one. Beyond the normal Montessori certifications, look for directors who have genuine belief in Montessori. You want the kind of director that will be loyal to the ideology. This type of director is not only driven for your school, but she is also far less likely to jump ship to go to another type of school.
Engage Multiple Bankers. If you’re going to borrow money, you need to have one reliable banker for knowledge and insight and another 15 or so to make sure the first banker is giving you the best terms possible when you borrow. Failing to provide a competitive environment for your banker(s) can be extremely expensive to you. A difference of a quarter percentage point on a million dollar loan over 20 years costs you and extra $34,793. The U.S. has a lot of banks. It’s a competitive business. There’s no reason not to use them correctly.
Use Real Estate Transaction Professionals. If you’re buying property (land and / or buildings) and you’re not experienced in transactional work, get professional help to ensure that you won’t miss important factors in the transaction. Help can come in the form of your CPA, a real estate attorney and/or an experienced broker.
Hire an Internet Marketing Consultant. In today’s environment, you must have an internet presence. The good news is that social media allows you to leverage your advertising dollar more than ever before. Make sure your marketing person is a talented SEO (search engine optimization) person. Have them explain how the process works. Don’t settle for a list of the results the consultant says he can produce. Hire a Dependable IT Professional. You will have computers. You will need an IT professional. Starting out, it’s better if this person is not part of your staff as some of the information exposed during the work may be sensitive.
Use a Professional Payroll Company. If you’re starting out with a tight budget, it can be tempting to think about doing your own payroll taxes. There are several good payroll companies. None of the major companies should have any problem managing your payroll. They’re not terribly expensive, and they are worth every penny.
Hire Teachers. If you’ve come this far, you probably already know what kind of teachers you want to hire. Hire the best teachers you can afford within a reasonable payroll budget, and don’t be afraid to dismiss and replace one if you pick the wrong one. It’s much better to remove a problem teacher from the school before they infect the others.

The early education industry is a great industry. It provides significant financial returns for doing genuinely important and rewarding work.

Know How To Count Your Money In Early Education

Whenever professionals discuss the financial performance of early education companies, the conversation will always include “cash flow”…and that can be dangerous. The term “cash flow” can mean many different things and it can be the cause of material misunderstandings that can lead to litigation or you losing some of your money…or both.

Instead of using the term cash flow in your discussions, use the term EBITDA. EBITDA means…
Earnings
Before
Interest
Taxes
Depreciation and
Amortization (of non-tangible assets—not loan amortization)

It is commonplace for Earnings to include compensation paid to the company’s owners including salary and benefits like the owner’s health insurance, company car…etc.

EBITDA is a much better indicator of a company’s true cash flow and its ability to meet its obligations as it includes the non-cash tax deductions of Depreciation and Amortization. EBITDA shows you how much money you have not how much you have on paper.

ALWAYS: If you’re in a conversation with someone who uses the term “cash flow”, ask them if they are defining cash flow as EBITDA…or simply ask them how they are defining cash flow. Many sales people like to use the term cash flow. It’s vague. It allows for a lot of latitude. People depend on you. It’s always best to be very clear when you’re talking about your money.

Funding Your Early Education Company

Many of us need money from other people to start and grow companies. The money comes from banks, partners, investors, venture capitalists, equity funds…and/or our closest friends and family. No matter what the source is, understand two things. One, there is always a cost to using someone else’s money. Two, the cost can vary greatly between sources.

The first question is…Do I borrow money and go into debt or do I sell equity in my company to someone else? Keep in mind that equity is always more expensive than debt. You only have to pay-off debt one time. The payments on equity can last the entire life of your company. I have seen more than one person sell his or her company only to realize just how expensive equity can be. One example, my friend (a very smart guy) started his company and gave away a 20% equity stake in exchange for $50,000 of start-up capital. Over approximately 10 years, this 20% partner received 20% of all of the company profits and $5,200,000 when the company was sold. If he paid interest of 50% a year on the $50,000, his total repayment would have been $300,000.

When it comes to growing a successful early education company, responsible use of debt can be great tool to expedite that growth. Here are some important things to consider when you’re thinking about using debt:

Never accept a loan from any lender (including your favorite lender) without having many lenders compete for your loan. No matter how you approach the process, competition amongst vendors is always in the best interest of the consumer.
When you see the loan that you think is right for you, do a detailed review (this means use a good attorney) to make sure there are no hidden fees or terms…no ambiguous language that can surprise you after you have already made the commitment. Some people think it’s overkill, but it’s not. Many banks and bankers (like car salesman) take an approach that the paperwork is all just standard stuff…sign here …sign here. It’s standard stuff because they’re not the ones on hook. Review the loan documents carefully.
Be transparent with your lender. There’s nothing wrong with negotiating the best terms you can get, but don’t hide anything. Be honest and be direct.
If you can, see how the lender works with their borrowers when things aren’t going well. Everyone is friendly the day you sign the papers, but I have seen lenders become absolutely vicious when they’re getting tested. Never in recent history was that more apparent than in the financial system crash of 2008. You want a lender that will work with you just in case everything doesn’t go as planned.

What You Do Matters—Here’s Some Proof

Whether it’s daycare, childcare, preschools, Montessori or private elementary, when you do it right, the impact you create is probably much bigger than you know. Here are some things you should know about your centers and schools.

The HighScope Perry Preschool Experiment randomly assigned more than 100 low income, at-risk students to either a two year pre-school program or a control group. The students’ lives were reviewed from age three to age 50.
Forty-four percent more students graduated high school when they were included in the two-year preschool program.
Graduates of the two year preschool program had income levels that were 36% higher than those who didn’t get to attend the program.
When we are young children, our collective knowledge is much smaller so adding the ability to learn makes a greater impact.
